IBM's HashiCorp Acquisition Under Antitrust Scrutiny

The U.K.’s Competition and Markets Authority (CMA) has initiated an investigation to determine the potential impact of IBM’s proposed acquisition of HashiCorp on market competition.

Interested parties are being invited by the CMA to submit their perspectives on the merger, with a deadline of January 16th for comments.

Regulatory Timelines and Deal Details

A preliminary decision regarding the clearance of the deal, or a referral for a more in-depth review, is currently scheduled by the regulator for February 25th.

IBM initially announced its agreement to purchase HashiCorp in April, valuing the cloud software vendor at approximately $6.4 billion.

Should the acquisition be finalized, it will significantly bolster IBM’s expansion into the cloud and AI sectors.

Furthermore, the deal would grant IBM access to HashiCorp’s substantial customer base, which comprises around 4,400 clients.

Founded in 2012 by Mitchell Hashimoto and Armon Dadgar, HashiCorp is headquartered in San Francisco.

The company specializes in providing essential tools for the effective management of cloud infrastructure and the enhancement of cloud security.

Ongoing Investigations

HashiCorp received notification from the CMA in August regarding the commencement of this merger review.

In addition to the CMA’s investigation, the U.S. Federal Trade Commission is also currently conducting its own review of the proposed acquisition.
