Thoma Bravo Re-Acquires Flexera for $2.85 Billion

Thoma Bravo demonstrates a strong affinity for Flexera, a Chicago-based IT asset management organization, by acquiring the company for the second time. According to information shared with TechCrunch, the transaction value is $2.85 billion.
This deal involves Thoma Bravo securing a majority ownership position by purchasing the stake from current shareholders TA Associates and the Ontario Teachers’ Pension Plan Board. The firm’s initial acquisition of Flexera occurred in 2008 from Macrovision for a price of $200 million. Reports indicate that Thoma Bravo successfully resold it in 2011, realizing a $1 billion profit.
Although previous estimates from the prior year suggested a potential valuation of $3 billion, the final price remained substantial, providing significant returns for each successive owner as the company changes hands.
With a valuation of $2.85 billion, Thoma Bravo faces a greater undertaking to achieve a comparable level of profit. However, the firm clearly maintains a positive view of the company, particularly its leadership, which largely remains consistent.
Seth Boro, a managing partner at Thoma Bravo, commented in a press release, “Jim [Ryan] and his team have successfully prepared Flexera for continued expansion by concentrating on the critical issues that businesses encounter with intricate IT systems.”
Ryan expressed his satisfaction with the company’s increasing value and his enthusiasm about reconnecting with Thoma Bravo. He stated, “This transaction is a clear indication of the confidence in Flexera’s progress and the strategic actions we have implemented to tackle the rapidly growing difficulties that organizations are currently experiencing.”
Established in 2008, Flexera has expanded through the acquisition of 12 other companies, including five within the past two years, as per data from Crunchbase. The completion of this transaction is anticipated in the first quarter of the coming year, contingent upon the fulfillment of all necessary regulatory requirements.
