Tesla CEO Elon Musk's Compensation Package Under Scrutiny

Shareholders of Tesla are scheduled to vote in November on a substantial 10-year compensation plan for CEO Elon Musk, valued at $1 trillion. This proposed package would represent the largest executive pay arrangement in corporate history.

Robyn Denholm, the chair of Tesla’s board, recently addressed The New York Times to advocate for the plan. She was also a member of the special committee responsible for developing the compensation proposal.

Justification for the Compensation

Denholm asserted that Musk requires significant incentives, linked to ambitious objectives, to maintain his drive and commitment. The motivation, she explained, isn't primarily financial gain.

Instead, Denholm indicated that Musk is more focused on the control afforded by the Tesla shares included in the package. “It’s a little bit weird talking about the dollars when it’s actually the voting influence,” she stated.

The Times reported that Denholm appeared somewhat uncomfortable during portions of the interview.

Addressing Concerns About Current Performance

The timing of this proposal has raised eyebrows, given recent declines in Tesla’s profits and vehicle sales. However, Denholm emphasized that the plan is designed to incentivize future performance.

“He gets nothing if he doesn’t perform against the goals,” she clarified, stressing that the compensation is contingent upon achieving specific targets.

Goals and Expectations

It’s important to note that the objectives outlined in the compensation package are, according to previous reporting by TechCrunch, less demanding than some of Musk’s earlier projections for Tesla’s growth and capabilities.

The plan is structured to reward Musk based on achieving pre-defined milestones, rather than solely on past accomplishments.
