SpaceX Secures Significant Spectrum Rights in $17 Billion Deal

SpaceX has made a substantial move in the ongoing competition for wireless spectrum, reaching an agreement to acquire a significant portion of airwaves from EchoStar for $17 billion. This acquisition is intended to bolster Starlink’s direct-to-cell services.

A Bold Step Towards Satellite-to-Phone Dominance

The transaction represents SpaceX’s most assertive indication yet of its ambition to lead the emerging satellite-to-phone communication market. It underscores the company’s commitment to expanding its connectivity solutions.

Understanding the Value of Spectrum

The deal, structured as $8.5 billion in cash and $8.5 billion in SpaceX stock, revolves around a limited and valuable resource: spectrum. Spectrum encompasses the range of radio frequencies used for wireless communication, including mobile calls, text messaging, GPS, and satellite transmissions.

The U.S. Federal Communications Commission (FCC) manages spectrum by dividing it into designated “bands.” Usable frequencies are finite, necessitating coordination among users to prevent signal interference. Furthermore, the availability of suitable frequencies for both phones and satellites is restricted, intensifying competition for access.

The Landscape of Spectrum Licensing

The FCC conducts auctions, awarding long-term licenses to private companies at considerable cost. Major cellular bands are largely held by national wireless providers such as AT&T and Verizon. Existing satellite operators, including Iridium and Globalstar, possess separate bands.

Regulatory Changes Enable Direct-to-Cell Services

In 2024, the FCC introduced a new regulatory framework, Supplemental Coverage from Space (SCS), which authorized satellites to legally extend terrestrial carrier networks. SCS allows satellite operators to utilize a carrier’s existing spectrum to fill coverage gaps as a secondary service.

Following this approval, SpaceX launched its direct-to-cell service as a premium offering for T-Mobile customers.

EchoStar Deal Grants SpaceX Independent Access

The SCS framework facilitated the agreement between SpaceX and EchoStar. It established a mechanism for satellite operators to integrate with terrestrial networks. Now, through the EchoStar acquisition, SpaceX gains direct control over spectrum licenses, eliminating the need for partnerships with terrestrial licensees.

Beyond Infrastructure: Potential for Device Development

While SpaceX specializes in rocket and satellite construction, not mobile phone manufacturing, the company may explore device development. Elon Musk, CEO of SpaceX, has suggested building a phone under his other venture, X (formerly Twitter), which recently merged with xAI. Musk has also publicly criticized Apple’s collaborations with OpenAI, even initiating a lawsuit alleging anti-competitive practices.

Implications for Apple and Globalstar

Apple currently utilizes satellite features, such as Emergency SOS, through a partnership with Globalstar, committing over $1.5 billion to expand these services. Analysts speculate that SpaceX’s move could be an attempt to encourage Apple to collaborate with SpaceX instead of Globalstar.

A History of Spectrum Advocacy

This is not SpaceX’s first engagement in spectrum-related disputes.

The company previously engaged in a years-long battle with Dish (an EchoStar subsidiary) over the 12 GHz band, which SpaceX sought for Starlink. It also raised concerns regarding Dish/EchoStar’s underutilization of the AWS-4 band, a license they subsequently acquired.

Ongoing Discussions on Spectrum Sharing

SpaceX and Kuiper have also engaged in discussions with the FCC regarding interference regulations and spectrum sharing among competing satellite constellations. These efforts have significantly influenced the FCC’s review of satellite spectrum-sharing rules.

Earlier this year, the FCC initiated a formal rulemaking process to modernize satellite sharing limits, prompted by a petition from SpaceX, with support from Kuiper and others.
