Nvidia's Acquisition of ARM Faces Scrutiny from U.K. Watchdog
The United Kingdom’s competition authority has expressed significant reservations regarding Nvidia’s planned acquisition of the chip designer, ARM.
Government Assessment and Potential Investigation
Today, the government published the assessment, initiating a decision on whether to request a comprehensive investigation by the Competition and Markets Authority (CMA).
The CMA’s report highlights concerns that a completed merger could enable Nvidia to impede the competitiveness of its rivals. This potential harm could arise from restricting access to ARM’s intellectual property (IP).
Impact on Competition and Innovation
The CMA fears that diminished competition could hinder innovation across several key sectors. These include data centres, gaming, the “internet of things,” and autonomous vehicles.
Consequently, businesses and consumers could face more costly or lower-quality products. A proposed solution offered by Nvidia was deemed insufficient by the CMA.
CMA's Recommendation for Phase 2 Investigation
The CMA has recommended proceeding to an in-depth “Phase 2” investigation, citing competition concerns.
CEO Andrea Coscelli stated: “Our concern is that Nvidia’s control of Arm could negatively impact competitors by limiting their access to crucial technologies.”
“Ultimately, this could stifle innovation in numerous important and expanding markets, potentially leading to higher prices or fewer product choices for consumers.”

Nvidia has been contacted for a response. Update: The company has issued the following statement.
The Department for Digital, Media, Culture and Sport announced that the U.K.’s digital secretary is currently reviewing the full report.
A decision regarding a ‘Phase Two’ investigation by the CMA will be made “in due course.” The department emphasized the need for a timely decision to minimize uncertainty.
Opposition to the Merger
The proposed merger has encountered substantial opposition domestically, including objections from a co-founder of ARM who has advocated for its blockage.
