Adobe’s offer stands at $12 per share for Semrush, representing a substantial premium – nearly double – compared to the company’s closing price of $6.89 on Tuesday, prior to the announcement.
As of Tuesday’s market close, Semrush’s market capitalization was valued at around $1 billion.
The Rise of Generative AI and SEO
Adobe anticipates that businesses will prioritize optimizing their content and web pages for enhanced visibility within artificial intelligence (AI) systems.
The increasing adoption of AI chatbots, agents, and browsers for tasks ranging from news consumption to e-commerce is driving this shift.
This evolving consumer behavior is creating a significant new market for established SEO companies like Semrush, as generative AI tools increasingly direct traffic to websites.
Significant Growth in AI-Driven Website Traffic
Data from Adobe Analytics reveals a remarkable 1,200% increase in traffic to retail websites originating from generative AI chatbots as of October, compared to the previous year.
Semrush's Focus on Generative Engine Optimization
Semrush has been proactively investing in what they term “generative engine optimization.”
They recently introduced a tool designed to monitor and improve website performance by integrating traditional SEO methods with optimization strategies tailored for AI engines.
These engines include popular platforms such as ChatGPT, Claude, Copilot, Grok, and Perplexity.

“Brand visibility is being reshaped by generative AI, and brands that don’t embrace this new opportunity risk losing relevance and revenue,” stated Anil Chakravarthy, president of Adobe’s Digital Experience Business.
He further explained that the acquisition of Semrush will enable marketers to leverage generative engine optimization (GEO) as a new avenue for growth, complementing their existing SEO efforts.
This integration is expected to drive increased visibility, customer engagement, and conversions across the digital ecosystem.
